Terms of Service

These Terms of Service ("Terms") govern your access to and use of the D1 Precision Scheduler website and mobile application located at d1precision.com and d1precision.base44.app (the "Service"), operated by D1 Precision Scheduler ("D1 Precision," "we," "us," or "our").

By creating an account, logging in, or using the Service in any manner, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

These Terms apply to all users, including coaches, players, guardians, staff members, and administrators. Additional role-specific obligations are described throughout.

You must be at least 13 years of age to create an account. Players under 18 must have a linked guardian account and guardian consent to use coaching and messaging features. Guardians are responsible for their minor's activity on the Service and for ensuring the minor complies with these Terms.

You agree to provide accurate, current, and complete information during registration and to update it as needed. You are responsible for safeguarding your password and for all activity under your account. Notify us immediately of any unauthorized use or security breach. We may suspend or terminate accounts that provide false or misleading information.

New coaches must complete onboarding, including sport, phone, city, state, coaching title, hourly rate, and skill level. Accounts that remain incomplete after seven (7) days may be automatically deleted to maintain data quality and platform integrity.

3.1 Coaches

Coaches are independent service providers, not employees of D1 Precision. Coaches set their own availability, pricing, session types, and policies. Coaches are responsible for delivering sessions as booked, maintaining accurate schedules, and communicating professionally. Coaches using Stripe Connect are responsible for their own tax obligations and for providing accurate payout information.

3.2 Players

Players are responsible for booking sessions accurately, arriving on time, and paying for sessions as agreed. Players may cancel sessions according to the cancellation policy in Section 6. Players should provide accurate skill information to help coaches prepare effective sessions.

3.3 Guardians

Guardians manage consent for their linked minor players, including messaging consent, coach interactions, and data access. Guardians may block coaches, revoke messaging consent, and request data about their minor's activity. Guardians are responsible for monitoring their minor's use of the Service.

3.4 Staff members

Staff referrers act on behalf of a coach to refer students and may earn commissions as defined by the coach. Staff must use referral codes honestly and may not spam prospective students. Outreach logs and cooldowns are enforced to prevent abuse.

3.5 Administrators

Administrators manage platform settings, user accounts, support tickets, safety investigations, and system health. Administrators must act in good faith and follow audit-logged procedures when accessing user data or taking disciplinary action.

You agree not to use the Service to:

• Violate any law, regulation, or third-party right.
• Harass, threaten, bully, stalk, or harm any person, especially minors.
• Send unsolicited spam or outreach in violation of cooldowns or consent.
• Share or request contact information, URLs, or external links in minor-involved conversations where blocked.
• Attempt to circumvent safety controls, background check verification, or moderation systems.
• Impersonate another person or falsely claim credentials, certifications, or background check status.
• Upload content that is illegal, infringing, defamatory, pornographic, or that exploits or harms minors.
• Interfere with the Service, introduce malware, scrape data, or attempt unauthorized access.
• Reverse engineer, decompile, or redistribute any part of the Service.
• Use the Service for any commercial purpose other than the legitimate coaching and booking activities the Service is designed for.

We may, at our discretion and without notice, remove content, limit features, suspend accounts, or terminate access for violations. Serious violations, especially those involving minor safety, may result in permanent removal and, where appropriate, referral to law enforcement.

Session bookings are commitments between a coach and a player (or their guardian). D1 Precision facilitates scheduling, communication, and payment processing but is not a party to the coaching relationship.

Coaches set session types and pricing, including 1-on-1 rates, 5-session packages, semi-private per-player rates, and small-group rates. Players pay through the integrated payment providers (Stripe, PayPal) or redeem previously purchased package credits. Coaches may accept or decline bookings and may waive or discount session prices at their discretion.

Subscription plans, where offered, are billed on a recurring basis until cancelled. A mandatory monthly platform fee may apply to coaches to maintain platform access, separate from any voluntary premium tiers. Fees and pricing are displayed before you commit to a purchase.

D1 Precision may retain a platform fee from transactions as disclosed at the time of booking. Coaches using Stripe Connect receive payouts directly from the payment provider according to their connected account terms.

Cancellation rights depend on the coach's policy and applicable law. Where a coach allows cancellations, sessions may be cancelled without charge up to a stated deadline. Late cancellations or no-shows may be charged in full or in part at the coach's discretion.

When a booked session is cancelled, D1 Precision may automatically offer the slot to the next student on a waitlist. Refunds, where owed, are processed through the original payment method and may take several business days to appear, depending on your bank or card issuer.

For subscription cancellations, access continues until the end of the current billing period. No refunds are provided for partial billing periods unless required by law.

Coaches may designate staff referrers and set commission rates for first and recurring appointments of referred students. Commissions are tracked as owed, paid, or voided, and are the financial responsibility of the coach, not D1 Precision. D1 Precision records commission data for transparency but does not guarantee payment unless an administrator marks a commission as paid.

Referral links and codes must be used honestly. Misuse, including self-referral or referring the same student through multiple codes to stack commissions, may result in voided commissions and account suspension.

Messaging features are provided to facilitate coaching communication. For conversations involving minors, the following protections apply:

• Guardian consent is required before a coach may message a minor.
• Adults in group chats with minors must be background-checked and verified.
• Messages from minors are visible only to that child's guardian, while messages from verified adults are visible to all guardians in the group.
• URLs and external links are blocked in minor-involved conversations to prevent off-platform contact.
• Profanity is filtered, and content may be scanned for grooming, sexual, violent, or otherwise harmful patterns.
• After-hours messages may be queued for administrator review before delivery.
• Guardians may block a coach from messaging their child at any time.
• Flagged users may be suspended pending investigation and may be reported to authorities where appropriate.

You must not attempt to bypass these protections, for example by encoding contact information, using alternative platforms to contact a minor, or pressuring a minor to keep conversations secret. Violations are treated as serious safety incidents and may result in permanent removal and legal action.

You retain ownership of content you upload, including videos, images, messages, and profile information. By uploading content, you grant D1 Precision a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and process that content as needed to operate the Service and the features you use.

You represent that you have the rights to any content you upload and that it does not infringe third-party intellectual property or privacy rights. D1 Precision may remove content that violates these Terms or applicable law. Coaches' public profiles and booking pages may be displayed publicly to attract players.

The D1 Precision name, logo, software, and platform design are owned by us and protected by intellectual property laws. You may not copy, modify, or distribute our branding or software without permission.

The Service includes gamified progression (XP, levels, badges, streaks, leaderboards), skill assessments, progress notes, and AI-generated insights. These features are informational and motivational only. AI insights do not constitute professional advice and should not replace the judgment of a qualified coach, medical professional, or guardian. D1 Precision is not liable for decisions made based on AI-generated content.

Streaks and badges may be affected by system availability and are not guaranteed. Premium gamification features, such as streak freezes and week-streak tracking, require an active premium subscription and are subject to fair-use limits.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any booking, message, or payment will be completed without delay.

Coaches are independent third parties. D1 Precision does not guarantee the quality, safety, or outcome of any coaching session and is not responsible for conduct occurring offline between coaches and players. You use the Service at your own risk.

Any reliance on the Service, including availability, pricing, or messaging, is at your sole risk.

To the fullest extent permitted by law, D1 Precision and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our aggregate liability for any claim arising out of or relating to the Service shall not exceed the amount you paid to D1 Precision in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.

Some jurisdictions do not allow certain liability limitations, so these limits may not apply to you where prohibited.

You agree to indemnify and hold harmless D1 Precision and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, your infringement of third-party rights, or your misconduct, especially any conduct that endangers a minor.

You may delete your account at any time through the in-app account deletion flow. We may suspend or terminate your access if you violate these Terms, if you create risk or legal exposure for us, if requested by law, or if we discontinue part or all of the Service.

Upon termination, your right to use the Service ends. Certain data may be retained as described in our Privacy Policy. Provisions that by their nature should survive termination, including intellectual property, indemnification, and limitation of liability, will remain in effect.

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). You authorize us to charge the selected payment method until you cancel. You can cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.

We may change subscription fees with reasonable notice. Price changes apply to future billing periods and do not affect the current period. Taxes, where applicable, are added at checkout based on your location and the coach's tax settings.

The Service allows you to connect third-party accounts such as Google Calendar and Slack. When you connect an integration, you authorize us to access and exchange data according to the scopes you approve. You may disconnect an integration at any time. Third-party services are governed by their own terms and privacy policies, and D1 Precision is not responsible for their practices.

These Terms are governed by the laws of the United States and the state in which D1 Precision is established, without regard to conflict-of-law principles. You and D1 Precision agree to attempt to resolve any dispute informally first. If a dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration, except for matters that may be taken to small claims court. You waive any right to participate in a class action.

If you are a consumer in the European Economic Area, United Kingdom, or Switzerland, you retain the mandatory statutory rights of your country of residence and may bring claims in your local courts where required by mandatory consumer protection law.

We may revise these Terms from time to time. We will update the "Last updated" date and, for material changes, provide notice through the Service or by other reasonable means. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you should stop using the Service and delete your account.

We may send you notices through the Service, by email, or by other means. For questions about these Terms, contact us through the in-app support center, the Contact Us page, or by submitting a support ticket. Administrator-reported issues and safety concerns are prioritized and reviewed by trained staff.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and D1 Precision regarding the Service and supersede any prior agreements.
